本合理，薪酬方案符合企业的实际情况。

（2）根据效益情况和《公司管理人员年度薪酬与考核管理办法》的规定，公司内部董事、监事均按照其岗位职务领取薪酬，其中董事长的薪酬已经由市国资委核定。

（1）经核查，本次对市天健物业管理有限公司进行减资，是推动物业公司主辅分离工作的需要，符合公司的实际，同时兼顾了主辅分离企业员工的利益，因此是必要的和切实可行的。

（2）关于对市天健物业管理有限公司相关资产调整的方案，符合国家八部委和市政府关于企业主辅分离、辅业改制分流的政策要求，操作上可行，目前不会对本公司经营及盈利能力构成影响。

（3）关于转让市水务投资有限公司30%股权的议案，转让原因主要是中短期投资效益不明显，同时是为了盘活存量资产，集中资源发展房地产主业，以缓解公司目前的资金压力。

（三）保护社会公众股东合法权益方面所做的工作

1、对公司信息披露情况的调查。，本人通过与公司董事会秘书、证券事务代表等相关人员的沟通，能及时获取公司信息披露的情况资料。公司能严格按照《证券交易所股票上市规则》及公司《信息披露管理规定》的要求，认真履行信息披露义务。

2．关于控股股东及其他关联方占用公司资金情况的说明及独立意见

根据证监发[]56号文《关于上市公司建立独立董事制度的指导意见》和《公司章程》的有关规定，作为公司独立董事，本人阅读了公司提供的相关资料，基于独立判断的立场，本人认为：

（1）报告期内，公司与控股股东及其关联方之间不存在占用资金的情况。

（2）报告期内，公司与关联方之间的资金往来属于正常的经营性关联交易的资金往来，交易程序合法，定价公允，没有损害公司和全体股东的利益。

（3）公司与公司控股子公司之间发生的资金往来是正常的经营和日常资金调拨所致，有利于公司的经营和公司控股公司的发展，符合公司和全体股东的利益。

公司及控股子公司的担保属于公司生产经营和资金合理使用的需要，没有损害公司及公司股东尤其是中小股东的利益，并履行了相关的审批程序，无违规情况。

怀着对青春的梦想，我捧着一颗火热的心踏上了班长的舞台。上半年已经过去，在这半年里我深刻体会到了做班长的艰辛和快乐，我把自己的青春倾注于我所钟爱的事业上，倾注于每一位同事身上。上半年的工作已经结束，收获不少，下面我对上半年稍微写一下,为下半年的工作确立新的目标。

一、思想认识。

在上半年，作为一名班长，我在思想上严于律己，热爱自己的事业，以班长的要求严格要求自己，鞭策自己，力争思想上和工作上在同事心目中都树立起榜样的作用。积极参加工厂及公司组织的各项活动，如工厂的主管讲课。半年来，我服从和配合领导做好生产部门各项工作。我相信在以后的工作中，我会在领导的关怀下，在同事们的帮助下，通过自己的努力，克服缺点，取得更大的进步。下半年，我将更加努力工作，勤学苦练，使自己真正成为一个经受得起任何考验的班长。

二、维修工作。

在维修工作方面，上半年任务都非常重，但不管怎样，为了把自己的维修水平提高，我坚持经常看一些相关的书籍，还经常网上找一些机械维修资料，还争取机会多与同事们聊天，从中学习别人的长处。平时还虚心请教有经验的老师。自己也经常去设备现场看、与生产部门沟通挖掘他们对设备操作存在的缺陷，自己做好笔记统一处理，处理不了的通过oa流程上报设备动力部要求他们的技术支持。

三、班长工作。

我严格要求自己，工作实干，并能完成领导给予的各项任务。由于我们是机修工，这个特殊的职业决定了我们必须还有很多的工作要做，我服从领导的安排，兢兢业业，主要的完成每月的设备保养计划工作和日常维修工作的安排，还处理一些突发性事故。并很好的完成了领导安排的所有任务。在以后的工作，我将一如既往，脚踏实地，我会更加积极地配合领导完成各项任务，为华峰的美好明天更加努力。

四、考勤方面。

我在做好各项工作的同时，严格遵守公司的各项规章制度。处理好公司工作与个人之间的关系，到目前为止，考勤制度我还在制定当中，以机修以前的制度为版本再增加一些工作的实际情况。我将会用最少的时间逐步完善考勤制度。下半年，我将更加勤恳，为自己作更多的事，自己更加努力学习专业知识，使自己的业务水平更上一层楼。

综合以上几点，其中还有不足之处，所谓“人无完人”，我将用更多的时间带领机修的全体同事发挥他们自己的专业技能，为自己和他们去寻找更大的发展舞台。

二、加强业务技能培训，提高职工素质。

3.集体活动过程中，要遵循“一个都不能少”原则（这个也是我做得不够好的。有时候由于组织疏漏，或者一时头脑过热忽略了部分较为内向沉默的集会同学。其实大家有来参加集会就是对工作的支持与对班级的热爱与归属，所以我们要讨论就一起讨论，要玩就一起玩，一个都不能少，这样才能皆大欢喜～在这里我向曾默默的“叶子”们表示歉意，并热情邀请你加入一起欢笑的殿堂，共创难忘记忆！）

4.作为班长，要有大局观（点3就是一个反应。只有大局掌控好，一切才能顺利，从而向尽善尽美靠拢）

5.要口袋里有东西（譬如说组织唱k吧，作为班长如果一首歌都唱不了那多拿不出手。很多时候就是有一个人主动拿出手了，大家都会陆续拿出手，这样就热闹起来了多好呀。班长有义务做发动者。

所以，我还有很多东西要学，要不断饱满自己口袋，这是我对自己的期许）

6.不要把个人情绪带进工作（这点参照点1，然后我想向女班说句“谢谢你”！）

7.工作要对集体负责，要有计划（这点原谅我大言不惭地说句：我做得还可以。实在是没别的优点了，请亲们允许我小小的自恋。当然离优秀程度还很远，我奋斗。。。）

8.要学会幽默（其实我可以很幽默的，在某些时候面对某些人。接下来的工作是把这句话变为：其实我可以很幽默的，在任何时候面对任何人。远大的理想呀～）

9.得多串门，不能蜗居宿舍（男生宿舍会走走串串，但也不太经常，这是不好的；女生宿舍更少去，并且主要是捉老鼠。我很遗憾至今未曾和男同胞一起过去看望女士们。下学期要给力～大家别想歪，男女生联谊对班级建设是特别重要的。我很认真地说）

10.上学期组建了男女歌唱团，但只是形成个雏形。下学期要融合起来，组建成班级mpc（music play club），努力将其打造成班级品牌特色，打响娱乐界名声（好大口气呀～）

11.这是一个团结的班级（其实坐在电脑前打下这行字时心里真的挺欣慰的。想起活动参加的人数，想起中秋晚会，想起团日活动，想起篮球赛，想起我们在一起的那些场景。。。尽管仍有抱怨，仍有不足，但这是正常的，也是必将得到改善的，我相信：103，会越来越好的！）

《漂亮女孩夏林果》这本书是我读了一遍又一遍，书中的故事深深地吸引了我，这本书主要写的是淘气包马小跳和他的同学漂亮女孩夏林果很有意思的故事，。夏林果是一个既漂亮又聪明的女孩，也是一名大队干部，她从五岁开始练芭蕾舞，她走路时眼睛永远平视前方，腰板永远挺得笔直，下巴永远抬得老高，脚尖永远是外八字，走起路来膝盖永远不弯。

My Opinion om Call Phones

Cell phones do play an important role in people’s daily life,but every coin has two sides.

To start with,a wirele mobile phone is convenient for the user at any time to contact others .Secondly,it’s a helpful companuon.With a multifunctional cell phone in hand,one can easily surf the net,downloading what he needs.

However,the cell phone has many disadvantages.For one thing,the machine itself is very expensive and its local service is very costly,not to mention its global service.For another,the radiation transmitted from the mobile phones might do harm to the user’s health.

In my opinion,with its expenses being reduced sharply,its development will have a brighter future.Therefore its advantages will far outweigh its disadvantages.

My Favorite TV Program

The News Broadcast is my favorite TV program.This has become a part of my life because almost everyday I turn on the TV at 7:00 p.m.,watching CCTV9news program.

Watching the daily news brings me the following benefits.Firstly,it develops my good language skills,proper pronunciation and greater knowledge and understanding of news around the world.Secondly,watching TV news as a family opens a stage for discuion between family members on a wide variety of topics.What’s more,sharing the news helps kids better understand the world they live in,helps them learn more on different views and on how to act or respond to tough situations if they face it.All in all,watching the news program is informative,communicative and instructive.

Can Money Buy Happine?The answer varies among people.Some believe that money is the source of happine, because money provides food for the hungry,medicine for the sick,and clothes for needly.while others hold that money is the root of evils,because it is the devil of money that drives a person to lie, cheat,steal,and,worst of all,to murder.

In my opinion,money is eential to being well-off,but not necearily to well-being.Happine is a state of mind,not something that can be bought.All in all,happine is le a matter of buying what we want than a wanting what we have.

The Digital Products

Nowadays,digital products are enjoying growing popularity among people.Take me for example,the first thing I do after waking up is switch on my cell phone to check my texb meages and read the latest news.Then listen to music on my ipod on my way to school.At the end of the day,I enjoy watching TV programs,or surfing the net.

Why are we so fond of those digital products? These two key factors represent the trend of new inventions of modern age that brings in the wide use of digital products.
