FORMAT OF PERFORMANCE BANK GUARANTEE

This Deed of Guarantee (“Guarantee”) is made at New Delhi, on this the [●] day of [●] 2016 by [●] duly constituted, registered and in existence in accordance with the laws of [●], having its principal office at [●] and, for the purposes of this Guarantee, acting through its New Delhi branch presently situated at [●] (hereinafter referred to as \"Bank\", which term shall mean and include, unle repugnant to the context or meaning hereof, its succeors and permitted aigns), in favour of Madhepura Electric Locomotive Private Limited, a company incorporated under the provisions of the Companies Act, 2013 and having its registered office at 601-B, 6th Floor Tower-I, Konnectus, Bhavbhuti Marg, New Delhi -110001, (hereinafter referred to as “Beneficiary” / “MELPL”, which expreion unle repugnant to the context hereof shall mean and include its succeors-in-interest and aigns), 该担保契约（“保函”）于2016年[●]月[●]日，由[●]制定，根据[●]法律按期组成，注册和存在，总部位于[●]。该保函的目的是通过新德里分公司，目前位于[●]（以下称为“银行”，该术语意思是包括其继承人和许可受让人，除非与此处语境或意义相矛盾），支持马德普拉电力机车私人有限公司，该公司根据公司法2013规定成立，注册地址在新德里-110001，Bhavbhuti Marg，Konnectus, Tower-I,6层，601-B室（以下称为“受益人”/“MELPL”，该表达意思是包括利益继承人和受让人，除非与此处语境相矛盾）， WHEREAS: 鉴于：

NOW THIS DEED WITNESSETH THAT in consideration of the premises and at the request of the Applicant, we, the Bank, hereby declare and agree as follows: 现该契约兹证明考虑到前提并应申请人要求，我方，银行，在此声明并约定如下：
1.We, the Bank hereby undertake to pay forthwith, as principal debtor and primary obligor, to the Beneficiary on its first demand in writing sent / delivered to us either by registered post or by hand or fax or by e-mail immediately and forthwith and without any delay, any sum demanded in writing not exceeding [Please fill in both in figures and words] (“Amount”), without any protest, demur, caveat, recourse or reservation, on failure of the Applicant to fulfill any of its obligations or responsibilities under the Contract (including without limitation any amounts payable as Contract Price and/or any amounts payable under the Contract) or under any other understanding or agreement with the Beneficiary stating that the Guarantee has been invoked without the Beneficiary needing to prove or to share grounds or reasons for such demand.We hereby undertake to make such payments without any reference to the Applicant or any other person and irrespective of whether any claim of the Beneficiary is disputed, challenged or contested by the Applicant or not.Any such demand made on us by the Beneficiary shall be final, binding and conclusive evidence and absolute as regards the invocation of the Guarantee and the amount due and payable under this Guarantee.We exprely acknowledge that this Guarantee may be invoked more than once.In the event any portion of the Guarantee is encashed pursuant hereto, then immediately following such encashment, the Bank shall replenish the Guarantee to the full Amount.In the event the Guarantee is not replenished to the full Amount within three (3) months of its encashment in any part, the Beneficiary shall have the right to encash the Guarantee to the full Amount.我方，银行，在此作为主要债务人和直接债务人，在受益人第一次以书面形式发送/递交给我方挂号信，手写信，传真或电子邮件时，我方保证会立刻支付书面文件中要求的金额，无任何延迟，不超过[请填写数字和文字]（“金额数量”），无任何抗议，异议，警告，追索或保留。如果申请人不能履行合同（包括但不限于作为合同价格支付的任何金额和/或任何合同规定下的可支付金额）中规定的义务和责任或任何与受益人的其他协议和合约，则说明该保函已经调用，受益人不需证明或共享此种要求的理由或原因。我方在此保证付款，无需参考申请人或任何其他人，并且忽略申请人对受益人关于任何索赔的争议，反对或争辩。受益人对我方所做的此类要求应是最终的，有效的并且是确凿证据，关于保函调用和该保函规定下的应付金额和付款是确定的。我方明确承认该保函可调用超过一次。如果保函任何一部分据此兑现，对于接下来的此类兑现，银行应补充保函全部金额。如果在兑现3个月内保函没有补充全部金额，则受益人有权兑现保函全部金额。
2.This Guarantee shall be valid for a period until [insert the date-which is six months after the expiry of the Contract] or for such extended period as may be mutually agreed between the Applicant and the Beneficiary (“Expiry Date”) and shall continue to be enforceable till all amounts duly claimed under this Guarantee by the Beneficiary are paid.All the demands and claims by the Beneficiary under this Guarantee may be made in writing until six (6) months after the Expiry Date (“Claim Period”).
该保函有效期[插入日期-也就是合同期满后6个月]，或申请人和受益人双方同意的此类延长期（“有效期”），应持续有效直到该保函下受益人要求索赔的金额都已按期支付。该保函下受益人的所有要求和索赔都应在有效期（“索赔期”）后6个月出具书面文件。
3.This Guarantee, herein contained, shall not be impaired or discharged or determined or affected by the liquidation or winding up, determination or change of constitution of the Bank, Applicant or Beneficiary or by any arrangement made between the Applicant and Beneficiary or by any variations in the terms and conditions of the Contract or any other documents, deeds or other writings entered into by the Applicant with the Beneficiary in relation to the Contract or by extension of time of performance of any obligations by the Applicant under the Contract or any postponement for any time of the powers exercisable by the Beneficiary against the Applicant or forebear once to or enforce any of the terms and conditions of the Contract.We shall not be relieved from our obligations and liability under this Guarantee, by reason of any variation or extension being granted to the Applicant or forbearance or omiion on the part of the Beneficiary or any indulgence by the Beneficiary to the Applicant to give such matter or thing whatsoever, which under the law relating to sureties would but for this clause/provision have effect of so relieving us.该保函所包含规定不应由于银行、申请人或受益人的清算或停业清理，判定或体制改变，或申请人和受益人之间的任何安排，或合同条款的任何变化，或申请人参与的与受益人关于合同任何其他文件、契约或其他书面文件，或合同规定下申请人任何义务延长履行时间，或受益人对申请人执行权力的任何时间延期，或曾延缓行使，或执行任何合同条款而遭到损害、免除债务、终止或受到影响。我方不应免除该保函规定下的义务和责任，即使原因是准予申请人的任何变化或延期，或受益人延缓行使或取消债权，或受益人对申请人给予此类事件或任何事物的延期优惠，法律规定相关担保人对此有效，但该条款/规定不能免除我们的义务和责任。
4.All payments made hereunder shall be free and clear of and without deduction for, or on account of, any present or future charges, fees, commiions, deductions, whatsoever and by whomsoever imposed.此处支付的所有款项应无任何债务牵连，没有扣除或由于任何原因，任何人强加的任何现存或未来的付费，收费，佣金，扣除费。
5.Any demand certificate, notice or any other communication under this Guarantee shall be, (i) in writing, and (ii) by facsimile meage, sent by person or sent by courier on or before the expiry of Claim Period, at the following addrees: 该保函规定下的任何活期存单，通知或任何其他沟通应是(i)书面的，并且(ii)通过传真信息，由个人或快递公司在索赔期期满之时或之前发送至下列地址： Designation: 名称：

6.All such demand certificates, notices and communications shall be effective only if received by the Bank on or before the expiry of Claim Period 只要银行在索赔期期满之时或之前收到，所有此类活期存单，通知和沟通应是有效的。
(i) if sent by fax, when sent (with the correct answerback), 如果用传真发送，发送时（有正确回复）， (ii) if sent by person, when delivered, 如果递交时由个人发送，
(iii) if sent by courier one (1) day after deposit with an overnight courier, and 如果由快递公司发送，用隔夜速递保管后1天，并且 (iv) if sent by registered letter when the registered letter would, in the ordinary course of post, be delivered whether actually delivered or not.如果用挂号信发送，挂号信按正常流程邮寄，则无论是否真正递交。
7.This Guarantee shall be irrevocable and we, the Bank, undertake not to revoke this Guarantee till its currency except the previous and expre consent of the Beneficiary in writing.该保函应是不可撤销的，并且我方，银行，保证不撤回该保函直到通用为止，除非受益人之前有明确书面许可。
8.Notwithstanding anything to the contrary as contained hereinabove, 尽管任何事物与上文规定相反，

9.All claims under this Guarantee will be made payable at the New Delhi branch of the Bank, presently located at [x] or any other branch located at Delhi.该保函规定下的所有索赔将在新德里分行支付，目前位于[x]或任何位于德里的其他分行。
10.This Guarantee is subject to the laws of India.Any suit, action, or other proceedings arising out of this Guarantee or the subject matter hereof shall be subject to the exclusive jurisdiction of courts of New Delhi, India.该保函适用于印度法律。由该保函或标的物引起的任何诉讼，行为或其他程序应适用于印度新德里法院的专属管辖权。
11.The Bank represents that it has power and authority to validly execute and iue this Guarantee and the undersigned is duly authorized to execute and deliver this Guarantee and this Guarantee will be legally valid and binding and enforceable against the Bank.银行表示其有权利与权威有效执行和发布该保函并且签名者被授权按期执行和递交该保函。该保函具有法律效力，对银行具有约束力和执行力。
