The two parties are in cooperation on Cro-border Payment and eCommerce, where related busine information and technical data from each other are needed.Based on the principle of mutual benefit and common development, both parties shall sign this NDA through friendly consultations.双方正在就 跨境支付与电子商务进行合作，需要取得对方的相关业务和技术资料，为此，甲乙双方本着互惠互利、共同发展的原则，经友好协商签订本协议。

1.In this agreement, “Confidential Information” means all confidential, non-public or proprietary information, regardle of how the information is stored or delivered, exchanged between the parties before, on or after the date of this Agreement relating to the busine, technology or other affairs of the discloser of this information or any of its affiliates’, which in the case of SMARTRO means its affiliates and any subsidiary of SMARTRO, and in the case of EBC means any affiliates and any subsidiary of EBC but does not include information:

在本协议中，“保密信息”是指双方中任何一方披露给对方的与合作有关或因合作产生的任何商业、营销、技术、运营数据或其他性质的资料，无论以何种形式或载于何种载体，无论在披露时是否以口头、图像或以书面方式表明其具有保密性（简称：保密信息），双方及其任何附属公司在签订本协议之前，正在或之后发生的有关业务，技术或其他相关事务所传递的信息均属于保密信息，本协议下SMARTRO 指XXXXXXX及其任何附属公司，yyyyyy指yyyyy及其任何附属公司，保密信息不包括以 下情况：

(i)

which is in or becomes part of the public domain other than through breach of this agreement or an obligation of confidence owed to the discloser; 双方共同认可可公开的信息，除了披露者违反本协议与保密责任；

which the recipient acquires from a source other than the discloser or any of its representatives where such source is entitled to disclose it.接收人的信息来自除披露者及其代表之外的有权披露信息的来源。 (iii)

2. Each party: 2.1 will only use the other party’s Confidential Information for the purpose of aeing potential busine partnership opportunities (the “Agreed Purpose”); 任一方只在用于评估潜在商业合作机会（“约定用途”）时可以用到对方的保密信息；

will only disclose the other party’s Confidential Information to such of its, or its affiliates’, officers, employees, contractors, agents, legal and financial advisers: 任一方只能在以下情况下将对方的保密信息透露给它的附属公司，员工，承包商，代理商，法律及财务顾问： a) b) c) to whom it is neceary to disclose the Confidential Information for the Agreed Purpose; 因为“约定用途”有必要披露保密信息；

who are informed of the confidential nature of the Confidential Information; and 为保密信息的一部分；

who agree to be bound by the terms and conditions of this undertaking.同意遵守本协议的条款和条件的约束。

copy or reproduce any of the Confidential Information reduced to writing or any part thereof without the prior written consent of the other party for a purpose other than the Agreed Purpose.拷贝或复制任何书面形式的保密信息，或任何未经对方事先书面同意的用作“约定用途”外的任何目的。

will ensure and procure that any of the other party’s Confidential Information disclosed to it by the other will at all times be kept in its poeion, custody or control with at least the same degree of care as it exercises to protect its own Confidential Information; and 任一方将确保并促使另一方透露给它的任何保密信息，始终在其严密的保管与控制下，保密程度不低于保护自己的保密信息; will, subsequent to having used the other party’s Confidential Information for the Agreed Purpose and been requested by the other party, return the whole of the Confidential Information which it has been provided in its poeion, custody or control or if requested, unle that party is required by law to retain that information or that information cannot otherwise be removed from that party’s systems.

任一方将依照对方的要求，将曾使用于约定用途的，由对方提供并自己保管与控制的所有保密信息，交还给对方，未经书面认可，任何一方不得复制或留存另一方任何信息。除非该方由法律规定，必须保留该信息，或者该信息无法从该方系统中删除。 2.5

3.The undertakings referred to in Clause 2 do not apply to any information (whether part of the Confidential Information or not) that: 条款2 并不适用于以下的内容（无论该信息是否属于保密的信息）

3.1 the recipient is required to disclose by law or a stock exchange;

接收者应法律和股票交易市场的要求公开信息；

3.2 is disclosed pursuant to any law or order of any Court or other regulatory body with whose instructions and advice the disclosing party is bound to comply.

应律法，法院或其他监管机构的要求，责任相关方有义务公开信息。

4.In the event that either party or any person or organisation to whom they disclose the other party’s Confidential Information pursuant to this undertaking becomes legally compelled to disclose any of the other party’s Confidential Information, they must immediately advise, where poible, the other party of such requirement to disclose the Confidential Information. 当有关方，无论个人还是机构应法律等强制性规定公开另一方的信息时，披露方 在可能的条件下， 须尽快通知另一方。

5.Each party exprely acknowledges that the other party’s Confidential Information is and remains the property of the other party, or its affiliates, and nothing in this

双方同意各方仍保留其知识，信息所有权。本协议不涉及任何信息知识所有权的转移或赋予一方使用另一方的信息的权利。

Each party acknowledges that a breach of this Agreement may result in immediate and irreparable injury to the other party for which there is no adequate remedy at law and agree that in addition to such remedies which the parties may have at law, each party may be entitled to injunctive or other equitable relief by reason of a breach hereof.Any party, who discloses the others confidential information and that causes serious consequences, should bear all the loes caused to the other party.Any party with a criminal offense, shall be transferred to the judiciary by law.当一方因违反本协议而给另一方带来不可挽回的损失，同时法律也没有规定合适的补救措施，双方应设法妥善解决。任何一方恶意泄露对方保密信息给对方造成严重后果或带来损失的，应承担因此给对方带来的全部损失，构成犯罪的，将移交司法机构依法追究其法律责任。

7.This Agreement shall remain in full force and effect for so long as the parties continue to exchange Proprietary Information, however, not longer than 24 months after signature- date of this agreement.The obligation of non-disclosure or any economic non-use of the Proprietary Information shall end only after the time period of five (5) years after the aforementioned date. 本协议将在双方交换专利信息的过程中保持其全部效力，但不能超过协议签订后

的24个月。保密义务和专利信息不能用于经济用途的义务将在上述日期的五年后 终止。

8 A party may not novate, or aign or otherwise deal with any of its rights or obligations under, this agreement without the other party’s prior written consent. 在没有另一方书面材料同意的前提下，协议的一方不能调整，转让或变相转移任 何在该协议下的权利和义务。

9. Confidentiality content of this NDA and confidentiality obligations of the parties shall not terminate due to the termination of bilateral cooperation. 本保密协议的保密内容以及各方的保密义务不因双方合作的终止而终止。

10.In case of disputes due to the implementation of this agreement, this can be resolved through consultation by both parties or a third-party mediation.If the consultation or mediation fails, the dispute will be submitted to Arbitration Court of the country which party that raised iue resides, for arbitration according to the Commiion\'s rules.Arbitration is final and binding on both parties. 因执行本协议而发生纠纷的，可以由双方协商解决或共同委托双方信任的第三方调解。协商、调解不成的，应由提起争议的一方在其所在国家的仲裁院提起仲裁。此仲裁结果将是终局性的，对双方均有约束力。
