Party A and B have reached an agreement ，on the basis of voluntary will, equality and mutual benefit, to conclude the following contract.

Article I.Party A agrees to sell to Party B the brand newly _________________whole sets.The main equipment and the scope of supply which is referred to in this contract should be always as consistent as description of Appendix I.

Article II.The price of goods specified in this contract is __________ RMB and _____ % of payment will be kept by Party B for installing and testing.

Party B will pay always base upon an approved invoice(two originals and three copies) by tax department, which is provided by Party A and have right to refuse to pay if Party A can not provide a invoice as required.

Article III.Delivery will be in batches.Party A should be responsible for any package, charge, and lo which caused by this.The detailed installation manual, operating and maintenance instructions, the catalogue of vulnerable fitting, and any technical drawing, test data which are related to installation, operation, and maintenance should be provided with the delivery.Party A should provide the CO(one original and three copies) which is approved by relevant government department.

Article IV.This contract will come into effect after a 200,000RMB deposit be paid by Party

B.The balance should be paid within _____ days after Party A delivery the goods while both sides have signed it for confirmation.

Article V.The quality guarantee period is_____ years.

Party A is responsible for installing and testing equipment, and sending four technologists to Party B’s designate place for instruction as the project progrees.

All the charges (including plane ticket, accommodation fees, local transportation fees and medicare and insurance) of the Party A\'s persons shall be born by the Party B.Party A is responsible for training Party B’s staff the equipment principle, operation and maintenance, to let Party B’s staff know how to operate and maintain appropriately.Party A guarantees that it will provide spare parts and vulnerable parts timely at a reasonable price for a few years.

Party A should guarantee that the produced equipments be in accordance with the relative national and industry safety and quality standards as well as the requirements of the technical documentation; ensure that the equipments during its service life should be in line with the respective technical items of national technical specifications with normal operation.Party A should be responsible of all the abnormal operations, failures or problems due to the defects of equipment design, workmanship or materials from the date of qualified and certified equipment commiion and acceptance within____ months with the expenses borne by Party A; if Party A can’t or fails to solve the problems within reasonable period of time, Party B may be resolved or ask a third party for help, resulting with the costs borne by Party A.

Article VI.While at the equipment acceptance, Party B should inspect the packaging appearance and acceories quantity of equipments in accordance with the delivery list offered by

Party A and then do the confirmation by signature.

When unpack the case for inspection, both parties (A and B) should be at present to sign and confirm; it there is any objections, it should be signed and confirmed by the representative of Party at site.In the above proce, Party B’s signature does not mean that the quality of equipments provided by Party is accepted.For example, during or after the inspection, Party B found that there are some discrepancies according to the contract, Party B has the right to lodge a claim with Party A.

Article Ⅶ Party A shall ensure that all equipment delivered to Party B shall not infringe the intellectual-property at any place and guarantee that it will not be sued for infringe the intellectual-property by any third party in the course of after-sale.If Party B is accused by any third party of infringement or punished, all the legal responsibilities, charge and Party B’s lo are born by Party A.

That all these technical information,designed drawing and special technology provided by Party A should be held confidential by Party B and can not leak any of them to any third partywithout a vaild reason(except for Party A fail to fulfil the after-sale service, Party B have to ask a third party to repair the equipment and maintain it)

Article Ⅷ.Party B should pay on time.On default of payment by the due date, an additional ______ RMB penal sum should be payable(except Party A approve delaying payment).Party A should deliver on time.On default of delivery by the due date, a fine of ______ RMB will be imposed in respect of each day should be paid to Party B.Party B have right to terminate the contract if the deliery is overdue for more than ____ days.While Party A will bear the penal sum of _____ of total project price and be responsible for any lo of Party B.If the equipment that party A delivered do not meet the quality standards in this contract or do not come with the quality certificate, Party B is entitled to refuse accepting the goods and asking for changing.That any expenses and the lo of Party B will cost，it will be born by Party A.

Article IX．After the contract signed, the parties shall not terminate the contract without any vaild reason, if Party A cancels the contract without any reason, Party A shall pay to the Party B ______% of the contract price penalty fee; if Party B cancels the contract without any reasons, the party B shall be paid to Party A _____% of the contract price penalty fee.if the implementation of this contract dispute, both parties should be resolved through consultation; if the negotiation fails,the parties can proceeding in the YiWu peoples\'s court.
