RECRUITMENT AGENT AGREEMENT

招生代理协议

This Agreement is made on _______, 2009, between Liberty Intellectual Pursuit in America （LIPA), a New York based organization and ______________________________(Agent), a Chinese organization in the city of _______, China.

甲方：利帕国际教育协会, 地址：美国纽约公园大道１００号（简称“利帕国际＂）乙方：________________________, 地址：__________________________ (简称“代理”)

Ｗhereby the LIPA appoints the AGENT as a Representative in _________________, for all the courses and programs offered by the LIPA, on the terms specified below.

据此利帕国际指定代理作为利帕国际提供的所有课程和项目在_________________代表，下述详细条款。

A.Responsibilities: The LIPA （利帕国际）

1.The LIPA agrees to give the AGENT the authority to introduce and recommend

individual students to the LIPA in accordance with the admiion standards and policies of the LIPA, and/or any other guidelines agreed by both parties.利帕国际同意给予代理人根据利帕国际的录取标准和政策，以及经双方同意的其他准则，向利帕国际引进或推荐符合条件的学生的权力。

2.The LIPA shall aure to the AGENT (i) that each qualified student recruited by the

AGENT shall be placed in a LIPA affiliated school in the US, (ii) that all costs including tuition, housing and boarding shall be at least one third lower than that in a non LIPA affiliated school, (iii) that there is no hiding costs; and (iv) that all high school students who is recruited by the AGENT and continually studies in a LIPA affiliated school shall be able to study in a college in the US upon graduation from the high school.利帕国际应向代理保证

（一）所有代理推荐的合格的学生都要安排进入LIPA加盟学校；

（二）所有报价包括学费、食宿等应比其他非LIPA加盟学校至少低三分之一；

（三）没有任何隐藏的费用；

（四）所有代理人推荐并在LIPA加盟美国学校完成高中课程的学生都应直接进入美国大学。

3.The LIPA shall endeavor to provide the AGENT complete and up-to-date

information on the LIPA with regard to the programs, course structure, fee schedules, admiions policies and other important aspects so as to aist in the proper counseling of prospective students.利帕国际应努力为代理人提供关于代理的完整项目和关于利帕国际的最新资料，课程结构，收费标准，招生政策等重要方面，以帮助未来的学生适当的辅导。

4.The LIPA shall answer any enquiries and send all correspondence and related

documents to the AGENT promptly via the most efficient means.利帕国际须及时回答任何查询和通过最有效的手段发送所有信函和代理有关文件。

5.The LIPA shall send all the neceary documents to the AGENT for student paport

procedures and visa application on a timely manner.利帕国际应当及时提交代理所有必要的文件，以便学生办理护照，签证申请。

6.The LIPA agrees to refund the tuition fee, and any other fee received from the

AGENT if the student is refused the final visa application.利帕国际同意退还从代

理收到的学费以及任何其他费用如果学生签证申请最终被拒绝。

7.The LIPA will arrange home-stay accommodation if required.利帕国际将应学生

需要安排美国家庭寄宿。

8.The LIPA will review the AGENT’s performance annually.This could be by way of

student satisfaction surveys, interviews.在利帕国际将对代理进行年度审查，这可能是以学生满意度调查及与学生访谈的方式进行。

B.Responsibilities: The AGENT （代理）

1.The AGENT shall advise, evaluate and screen all prospective students and shall

collect from the students on behalf of the LIPA the neceary application forms, reports, testimonials, financial guarantee letters, and any other documents requested by the LIPA.These will then be transmitted to the LIPA.代理人应当建议，评估和筛选所有学生，并以利帕国际的名义按要求向学生收集所需的申请表格，报告，鉴定，金融担保书，以及其他文件。这些文件将提交给利帕国际。

2.The services and responsibilities of the AGENT to the LIPA shall include promotion

of the LIPA, its programs, and other services including accommodation for students.The AGENT shall also give advice to prospective students and parents to ensure they have a full understanding before committing to enrolment.代理对利帕国际的服务和责任在于对利帕国际及利帕国际项目、包括学生的住宿等服务的推广。代理还应向未来的学生和家长提供意见和咨询服务，以确保他们作出承诺入学之前有充分的认识。

3.In the advising of individuals and diemination of information, the AGENT shall

take all reasonable measure to ensure that only factual and up-to-date information is given.在个人咨询和信息推广上，代理应采取一切合理措施，以确保只有真实

4.The AGENT shall endeavor to introduce and recommend individuals who are

academically and financially qualified for admiion to the LIPA.代理人应当努力引荐学术上和财政上符合利帕国际要求的学生。

5.The AGENT shall submit complete documentation of the student\'s application to the

LIPA promptly by airmail, or any other efficient method as required.代理人应当在收到学生的完整的申请程序所需文件后以航空邮件或其他有效快捷方式提交给利帕国际。

6.The AGENT shall ensure the LIPA receives the tuition and any other fees from the

students and the AGENT will remit these amounts to the LIPA by Telegraphic Transfer (TT) or International Bank Draft (USD$) within 10 days of the student gaining visa approval in principle.代理应确在学生获得签证的十天内将收到来自学生的学费及其他费用以汇款电汇或国际银行汇票（美元）的方式汇给利帕国际。

C.This Agreement is subject to cancellation by either party on notice of two (2)

weeks.The Agreement shall be valid for One (1) years from the date of signature.Any renewal of the Agreement will be negotiated.本协定须经由任何一方提出的两周后取消。该协议自签字之日起，有效期为一（壹）年该协定的当事人将商定续约事宜。

This agreement is made in both Chinese and English, if there is conflicting between both versions, the English version will prevail.此协议有中文和英文版本，若两版本之间有任何异议，以英文版本为准。
