Lawyer’s Letter

To Mi Wen Hong

Commiioned by Huntsman Chemical Trading (Shanghai) Co., Ltd.(Hereinafter referred to as ‘the client’), Chang Yan, the lawyer of Shanghai Z&H Law Firm hereby addrees the iues between you and the client on the《House Lease Contract》of 2-147 Forest Manor, Lane 588, Jinfeng Road, Minhang District, Shanghai to you as follows:

I.Whereas:

(I) In July 2008, you signed the《House Lease Contract》(hereinafter referred to as《Lease Contract》) with the client, and the client leased the house and its facilities (hereinafter referred to as \"leased property\") under your name, which is located in 2-147 Forest Manor, Lane 588, Jinfeng Road, Minhang District, Shanghai.

In the aforementioned 《Lease Contract》, you and the client made agreements on the lease, rent and the rights and obligations of both parties of the leased property.In the《Lease Contract》, you promised to lease the property in good and rentable condition to the client for residence.(II) After signing the《Lease Contract》, the client arranged for the employees to check in the lease d property.However, in the proce of the use of the leased property, the staff of the client found that:

1 Some facilities of the leased property can not be normally used, at present the main problems are as follows:

(1) Failure to provide the satellite television, which was required in《Lease Contract》

(2) The water heater and the oven do not work properly.

2 You had confirmed in the《Lease Contract》that the leased property did include the tea table selected by the client, but you pleaded ignorance and refused to pay the tea table.

(III) The above-mentioned problems of the leased property have seriously affected the normal life of the client’s staff, and led the client’s staff to have to buy the satellite TV receivers and arrange for water heater repair by their own, and the client had to lease the hotel resettlement staff, thus resulted in unneceary additional costs.

The above-mentioned problems existed in leased property have seriously affected the normal life of the staff of the client, and leaded the client have to book hotel to resettle the staff, which resulted in unneceary additional costs.

After the occurrence of the above problems, the client has communicated with you by phone and letter for numerous times to hope you to resolve it as soon as poible.Neverthele, to the client’s regret, you did not take any active measures to solve the arisen problems, and failed to prevent the further expansion of the client’s lo.Until the date that this lawyer\'s letter was iued, you still failed to give the client a clear answer on the above iues.

II In view of the above situation, the lawyer hereby solemnly notify you that:

(I) According to the 《Lease Contract》signed by you and the client, and the provisions of the relevant laws and regulations in China, you shall deliver the leased property and its facilities to the client in accordance with the agreement, and maintain the leased property and its facilitiesin line with the agreed purposes during the lease.In addition, you shall perform the maintenance of leasehold obligations.For now, your behavior of failing to fulfill the obligations not only seriously

violated the agreement between the two parties, but also infringed upon the legitimate rights and interests of the client, which leaded the client to bear the huge economic loes.

(II) Consequently, you shall fulfill the following matters within seven days from the date of receiving this letter:

1.Compensate to purchase two satellite TV receivers (if you are overdue for failure to fulfill this matter, the client will purchase them his own.The client will provide you with purchase invoices, and the purchase costs will be deducted from the rent for that month).

2.Repair or change the oven.

3.Pay the clientYuan, which is the compensation for the additional expense of the repair fee of the water heater, andYuan for the fee of purchasing the tea table, andYuan for the satellite TV receivers due to your breach behavior (see Annex: invoices of the expense of the water heater repair, the tea table and the satellite TV receivers)

4.PayYuan (see Annex: hotel checkout bills), which is the expense of the hotel accommodation for the client’s staff.

Besides, please repair the water heater caused by improper use or man-made damage within three days.If you fail to timely repair, the client shall have the right to arrange for repairs his own, and you shall bear the resulting costs (the client shall provide you with invoices of maintenance costs, and the related costs shall be deducted from the second month\'s rent).

By then, if you are unable to complete the above requirements, the client will retain the right to take further legal measure to safeguard his own legitimate rights and interests.

Annex:

1.Invoices of the repair fee of water heater

2.Invoices of the expense of the tea table and the satellite TV receiver;

3.Hotel checkout bills.
